What's wrong with Disney's Board of Directors?

Stephen Bainbridge, reknowned UCLA Law Professor and corporate law guru, has some penetrating observations about Roy Disney's resignation from the Disney Board of Directors. I believe a second director resigned today, also in protest of Michael Eisner's leadership of the company.
